Risk Disclaimer and Legal Notice<\/h1>

Before registering on the The Thunder Trader<\/strong> platform and purchasing Platform Credits to participate in Performance Arena Event, users are invited to carefully read this Legal Notice, which supplements the Terms and Conditions and the Privacy Policy.<\/p>

This document is drafted in plain language and does not, in itself, constitute a waiver of the mandatory legal rights of consumer users residing in the European Union, including those provided by the Italian Consumer Code and applicable sector regulations.<\/p>

1. Nature of the service: skill-based platform, not investment service<\/h2>

The Thunder Trader is a skill-based competition platform<\/strong> organised by LN17 ShapeFuture Limited (Hong Kong), which allows adult users to purchase access shares (Platform Credits) to participate in trading simulation events called Performance Arena Event<\/strong>.<\/p>

The Thunder Trader does not constitute<\/strong>:<\/p>

  • an investment service or portfolio management service under MiFID II Directive (Directive 2014\/65\/EU)<\/li>
  • a financial intermediation service, broker or dealer in financial instruments<\/li>
  • an investment advice service, recommendation or solicitation of investment<\/li>
  • a banking, payment or electronic money issuance service<\/li>
  • a prop trading firm activity or third-party capital management activity<\/li>
  • a betting, gambling, lottery, prize contest or random winnings activity in the technical-legal sense provided for under Italian, European or other jurisdictions’ regulations<\/li><\/ul>

    The Thunder Trader is<\/strong>:<\/p>

    • a digital platform of entertainment and competition based on the individual skill of the Participant in simulating trading operations<\/li>
    • an environment in which Participants compete with each other based on the performance achieved on a demo account, according to published rules that are identical for all participants in the same event<\/li><\/ul>

      2. Simulation, not real market operations<\/h2>

      All operations performed by Participants on the platform are simulations<\/strong> carried out on a demo account. More specifically:<\/p>

      • No position is opened on real financial markets<\/strong> by the Participant or on their behalf<\/li>
      • No capital of the Participant is exposed to market risks deriving from the price movement of the simulated instruments<\/li>
      • Prices displayed on the platform are reference price feeds<\/strong> provided by third-party providers, used as input for the simulation: Bybit Fintech Limited for crypto perpetual-style<\/strong> instrument prices and Forex Capital Markets Ltd. (FXCM) for forex and CFD<\/strong> prices<\/li>
      • The so-called perpetual-style<\/strong> instruments available on the platform do not constitute<\/strong> real perpetual futures nor Contracts for Difference (CFDs) under sector regulations; they are simulated instruments whose value replicates the movement of the reference price feed exclusively within the demo environment<\/li>
      • The profit\/loss displayed on the demo account is purely notional: it does not generate debts or credits towards the Participant<\/li><\/ul>

        3. Performance Reward: legal nature<\/h2>

        The Performance Rewards<\/strong> possibly disbursed to Participants who reach the highest positions of the final ranking of a Performance Arena Event are a discretionary economic recognition<\/strong> of the Controller, specifically governed by the Terms and Conditions.<\/p>

        Performance Rewards do not constitute<\/strong>:<\/p>

        • a financial return or a return on invested capital<\/li>
        • a remuneration, professional fee, commission or other form of work or advisory performance<\/li>
        • a contest winning, lottery prize or gambling payout<\/li>
        • a payment-out service of an entity authorised for the provision of financial services<\/li><\/ul>

          Performance Rewards are disbursed on the basis of a discretionary assessment of the Controller anchored to objective parameters (placement in the final ranking, compliance with event rules, successful KYC outcome, absence of violations of the Terms and Conditions). The Controller reserves the right not to disburse the Performance Reward in case of ascertained violations or anomalies.<\/p>

          4. No guarantee of results; past performance<\/h2>

          The Thunder Trader does not guarantee<\/strong> in any way that participation in Performance Arena Event will produce an economic return for the Participant. Most Participants will not reach ranking positions sufficient to accrue a Performance Reward; the distribution model and the power-law applied to the ranking are published in the Terms and Conditions and in the events’ information materials.<\/p>

          Past performance of Participants, historical placements, ranking statistics published on the site or on the official channels of the Controller are not a guarantee or reliable indication of future results.<\/strong> The Participant who purchases Platform Credits consciously accepts the risk that their access share to one or more events may not translate into any Performance Reward.<\/p>

          5. Access shares (Available Balance) and non-refundability<\/h2>

          The Available Balance<\/strong> represents the balance derived from the purchase of Platform Credits, usable by the Participant to access Performance Arena Event. The following provisions apply:<\/p>

          • Refundability within 14 days if unused<\/strong>: the Available Balance not yet used to access an event is refundable upon request of the Participant within 14 days of purchase, in compliance with the right of withdrawal provided for under European consumer protection legislation (Directive 2011\/83\/EU)<\/li>
          • Non-refundability once used<\/strong>: the access share, once used to access an event, is not refundable<\/strong> regardless of the Participant’s outcome in the event itself. The purchase of the share constitutes payment for the service of participation in the event, regardless of the final placement<\/li>
          • Fee Credits Balance<\/strong>: promotional bonus credits possibly disbursed by the Controller (Fee Credits Balance) are usable exclusively to reduce the access share of an event; they are in no case refundable, convertible into money or transferable to third parties<\/li><\/ul>

            6. No financial advice<\/h2>

            No content of the website thethundertrader.com<\/strong>, the participation platform, information materials, tutorials, newsletter, social channels, Discord community or any other communication of the Controller constitutes:<\/p>

            • investment advice<\/li>
            • personalised or impersonal recommendation to buy, sell or hold financial instruments<\/li>
            • solicitation of investment or offer to the public of financial products<\/li>
            • financial analysis under Art. 21 MiFID II<\/li>
            • tax, legal or other professional advice<\/li><\/ul>

              All contents have exclusively informative and educational purposes<\/strong> in relation to the operation of the platform and the dynamics of the proposed simulations. The Participant wishing to undertake real trading activities on financial markets is invited to contact authorised financial intermediaries in their jurisdiction and to consult a qualified independent financial advisor.<\/p>

              7. Territorial exclusions and access restrictions<\/h2>

              7.1 Hong Kong<\/h3>

              The service is not available<\/strong> to residents, domiciled persons or citizens of Hong Kong (HKSAR), in consideration of specific local regulations on contests, skill-based competitions and consumer protection. Registration attempts from the Hong Kong jurisdiction are rejected at onboarding.<\/p>

              7.2 United States of America<\/h3>

              For residents of the United States of America, a specific opt-out procedure<\/strong> applies as described in the Terms and Conditions (Art. 25.6), which includes dedicated contractual clauses and protective mechanisms. The platform is not actively promoted to the public residing in the United States. U.S. resident users who nevertheless access the platform expressly acknowledge and accept such conditions.<\/p>

              7.3 Other jurisdictions<\/h3>

              The updated list of jurisdictions with limitations or exclusions is available in the Terms and Conditions and in the information section of the site. It is the Participant’s responsibility to verify that participation in the platform is compatible with the regulations of their jurisdiction of residence.<\/p>

              8. Residual risks of a non-financial nature<\/h2>

              Even in the absence of market risks (as operations are simulated), the Participant acknowledges and accepts the following residual risks:<\/p>

              • Risk of non-accrual of the Performance Reward<\/strong>: the Participant may not reach the necessary ranking and therefore may not receive any Performance Reward, despite having purchased Platform Credits<\/li>
              • Operational and technological risk<\/strong>: events of a technical nature (price feed interruptions, delays in the execution of simulated operations, platform malfunctions, cyber attacks) may affect the participation experience. The Controller adopts mitigation measures described in the Terms and Conditions<\/li>
              • Regulatory risk<\/strong>: the evolution of the applicable regulatory framework may require modifications to the service, additional territorial restrictions or temporary suspensions of certain functions<\/li>
              • Account suspension risk<\/strong>: in case of violation of the Terms and Conditions, fraud attempts, multi-accounting or ranking manipulation, the Controller may suspend the Participant’s account and block the disbursement of Performance Rewards<\/li>
              • Risk of compulsive participation<\/strong>: although the platform does not constitute gambling, repeated participation in events against the payment of access shares may, in predisposed subjects, generate compulsive behaviour. The Participant is invited to participate in a conscious and responsible manner, setting personal limits on spending and time<\/li><\/ul>

                9. Consumer protection and mandatory rights<\/h2>

                For Participants qualifying as consumers residing in the European Union, this Legal Notice does not prejudice<\/strong> the mandatory rights provided for by European and national regulations for consumer protection, including:<\/p>

                • the right of withdrawal within 14 days from the distance contract (Directive 2011\/83\/EU), applied to the Available Balance not used as indicated in Section 5<\/li>
                • the regulation on unfair terms in consumer contracts (Directive 93\/13\/EEC)<\/li>
                • the right to the court of one’s place of residence for disputes relating to such rights<\/li>
                • the alternative dispute resolution tools (ADR\/ODR) provided for under European regulations<\/li><\/ul>

                  10. Knowledge, acceptance and statements of the Participant<\/h2>

                  By registering on the platform and purchasing Platform Credits, the Participant declares:<\/p>

                  • to have fully read this Risk Disclaimer<\/li>
                  • to have understood the nature of the service, in particular its qualification as a skill-based platform and not as an investment service<\/li>
                  • to have understood the simulated nature of the operations and the consequent absence of exposure to real market risks<\/li>
                  • to have understood the discretionary nature of Performance Rewards and the absence of guarantees of results<\/li>
                  • to have verified the compatibility of their participation with the regulations applicable in their country of residence<\/li>
                  • to have completed their 18th year of age<\/li><\/ul>
